Welcome to AI Haggler. By accessing or using our website or app (collectively, the “Service”), you agree to comply with and be bound by the following terms and conditions (the “Terms”). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By using the Service, you agree to these Terms. If you do not agree with these Terms, you may not use the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes your acceptance of the new Terms.

2. Description of Service

AI Haggler provides an AI-driven service that contacts businesses on your behalf to inquire about availability, prices, negotiate for discounts, and make appointments. The Service is available through our web app, where users can register, purchase call credits, and initiate calls via our AI agent. Features include:
• Calling Businesses for price checks, availability, and other inquiries.
• Negotiating with Hotels for price discounts.
• Making Appointments for various services, including healthcare, beauty, and home services.
• Recording Calls (if enabled by the user) for later review.

3. User Responsibilities

• Account Registration: To use the Service, you must register for an account. You agree to provide accurate and complete information during registration and keep your account information updated.
• Call Credits: To initiate AI calls, you must purchase credits. Each call made by our AI agent deducts one credit from your account. In cases where the business does not answer, you may redeem the credit.
• Use of Service: You are responsible for ensuring that the phone numbers you provide are accurate and up-to-date. You may not use the Service for any unlawful purposes or in violation of any local, state, national, or international laws.
• Legal Compliance: You are solely responsible for verifying and ensuring that all calls made through the Service comply with the laws and regulations of the destination country, state, or jurisdiction. This includes, but is not limited to, confirming the legality of making calls to the chosen destination and, if the recording option is enabled, the legality of recording the call. AI Haggler is not responsible for any misuse of the Service or non-compliance with applicable laws.

4. Payment and Refunds

• Credit Purchases: Call credits are available for purchase at the rates provided in the app. All payments are non-refundable, except as specified in these Terms.
• Credit Redemption: If a call results in a “busy” or “no response” status, you may redeem the credit used for that call. This does not apply to calls where the AI agent successfully connects but is unable to negotiate a discount.

5. User Conduct

You agree not to:

• Use the Service in any way that violates any applicable local, state, national, or international law or regulation.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Use the Service to send spam or unsolicited messages.
• Engage in any conduct that disrupts or interferes with the Service or its servers.

6. Acceptable Use Policy

You agree not to upload, post, host, or transmit any User Content that:
• Is unlawful, harassing, defamatory, abusive, threatening, harmful, obscene, contains pornography, or racially, ethnically, or otherwise objectionable.
• Encourages criminal conduct or provides instructional information about illegal activities.
• Infringes any third party's intellectual property or publicity rights.
• Constitutes unauthorized spam or bulk communications.
• Contains software viruses or malware designed to interrupt, destroy, or limit Service functionality.
• Burdens infrastructure in a way that negatively impacts Service performance, including "denial of service" attacks.
• Attempts to gain unauthorized access to other accounts, computer systems, or networks connected to the Service.
• Uses automated means to access the Service that are not permitted by AI Haggler.
• Collects information about Service users without obtaining consent.
• Impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity.

7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to the AI technology, design, text, graphics, and logos, are the exclusive property of AI Haggler or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis. AI Haggler makes no representations or warranties of any kind, express or implied, regarding the Service, including but not limited to the accuracy, reliability, or availability of the Service.

9. Limitation of Liability

To the fullest extent permitted by law, AI Haggler shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service, including but not limited to damages for loss of profits, data, or other intangible losses.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI Haggler, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from your use of the Service or your violation of these Terms.

11. Call Recording Disclaimer

If the recording option is enabled, outgoing calls made by our AI agent will be recorded. You are solely responsible for ensuring that recording calls is legal in the jurisdiction of both the caller and recipient. AI Haggler is not responsible for any misuse of the recording feature or any non-compliance with local, state, national, or international laws regarding call recording.

12. Termination

We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions.
